TERMS OF SERVICE

These Terms of Service ("Terms") govern your access to and use of the services provided by iSpeax, Inc., a New York corporation ("iSpeax," "we," "us," or "our"), together with its owners, officers, directors, employees, contractors, agents, and permitted affiliates (collectively, the "iSpeax Parties"). These Terms apply to all users of our services, including parents, legal guardians, and students (collectively, "you" or "Client").

By accessing, scheduling, enrolling in, or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

1. Acceptance of Terms

By using any iSpeax services, you confirm that you have the legal authority to enter into this agreement on your own behalf or on behalf of a minor child and agree to comply with these Terms.

2. Scope of Services

iSpeax, Inc. provides a variety of services, which may include, but are not limited to:

  • Speech-language therapy services (in-person and telehealth)
  • Clinical evaluations, assessments, and progress monitoring
  • Educational classes, workshops, and group programs
  • Parent education, training, and consultation services
  • Digital, downloadable, subscription-based, or physical educational resources and materials
  • Informational, instructional, and educational content provided through the Website

Services may be delivered in clinical, educational, home-based, community-based, or virtual settings, as determined by iSpeax.

3. Eligibility and Parental Consent

All services provided by iSpeax are intended for minors and must be authorized by a parent or legal guardian. By enrolling a child in services, you represent and warrant that you are the child’s parent or legal guardian or otherwise legally authorized to consent on the child’s behalf.

4. Telehealth and Multi-State Services

Telehealth services are provided in accordance with applicable federal and state laws and regulations. Services will only be provided in states where the treating clinician is appropriately licensed or otherwise legally permitted to practice.

You acknowledge that telehealth services may not be appropriate for all conditions and that technical issues may affect service delivery.

Emergency Disclaimer: iSpeax does not provide emergency or crisis services. In case of an emergency, call 911 or your local emergency services immediately.

5. No Medical Guarantees

iSpeax provides services using evidence-based practices; however, outcomes cannot be guaranteed. Individual results may vary based on participation, clinical factors, and other variables.

6. Payments, Billing, and Insurance

Services are currently offered on a self-pay basis unless otherwise stated in writing. iSpeax may accept insurance in the future; however, clients remain responsible for all fees not covered by insurance.

7. Cancellation Policy

Appointments, classes, or sessions canceled less than twenty-four (24) hours before the scheduled start time will be charged in full. No-shows are charged in full. Exceptions may be made at iSpeax’s discretion in the event of emergencies.

8. Refund Policy

Completed services are non-refundable. Prepaid services may be refunded only for unused sessions, subject to administrative fees. All refund requests must be submitted in writing.

9. Third-Party Platforms

iSpeax may use third-party platforms or software applications to facilitate scheduling, telehealth delivery, billing, documentation, or communication. These platforms are governed by their own terms and privacy policies.

10. Intellectual Property

All content, materials, curricula, trademarks, logos, and proprietary methods are owned by iSpeax or its licensors. Unauthorized use, reproduction, or distribution is prohibited.

11. Acceptable Use

You agree not to misuse services, disrupt sessions, engage in abusive behavior, or violate applicable laws or regulations.

12. Termination of Services

iSpeax reserves the right to suspend or terminate services for non-payment, repeated cancellations, policy violations, or unsafe or inappropriate conduct.

13. Disclaimer of Warranties

Services are provided "as is" and "as available" without warranties of any kind, to the fullest extent permitted by law.

14. Limitation of Liability

To the maximum extent permitted by law, none of the iSpeax Parties shall be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, or goodwill, arising out of or related to the services, whether based in contract, tort, negligence, strict liability, or otherwise, even if advised of the possibility of such damages.

To the fullest extent permitted by law, the total aggregate liability of the iSpeax Parties shall not exceed the total amount paid by you for services during the twelve (12) months immediately preceding the event giving rise to the claim.

15. Indemnification

You agree to defend, indemnify, and hold harmless the iSpeax Parties from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your use of the services, (b) your violation of these Terms, (c) any information you provide that is inaccurate or incomplete, or (d) your violation of any applicable law or regulation.

16. Dispute Resolution and Arbitration

Any dispute arising from these Terms or services shall be resolved through binding arbitration, except where prohibited by law. You waive the right to participate in class actions.

17. Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles.

18. Modifications to Terms

iSpeax may modify these Terms at any time. Continued use of services constitutes acceptance of the updated Terms.

APPENDIX A: TELEHEALTH INFORMED CONSENT

By accessing, enrolling in, scheduling, or participating in telehealth services provided by iSpeax, Inc., you acknowledge, understand, and consent to the following:

  • Telehealth involves the delivery of speech-language therapy and related services using interactive audio, video, or digital communication technologies.
  • Telehealth services will only be provided when the treating clinician is appropriately licensed or legally permitted to practice in the state where the client is physically located at the time of service.
  • Telehealth may not be suitable for all conditions or all clients, and in-person services may be recommended when clinically appropriate.
  • Potential risks of telehealth include, but are not limited to, technical failures, interruptions, unauthorized access, or incomplete information due to technology limitations.
  • You agree to participate from a private, safe location and to notify the clinician if privacy cannot be maintained.
  • iSpeax does not provide emergency or crisis services. In the event of an emergency, call 911 or local emergency services immediately.

By acknowledging this consent, you authorize iSpeax to provide telehealth services to you or your child as clinically appropriate.

APPENDIX B: HIPAA NOTICE OF PRIVACY PRACTICES (SUMMARY)

This Notice describes how medical and therapy-related information about you or your child may be used and disclosed and how you can access this information.

iSpeax, Inc. is required by law to:

  • Maintain the privacy of Protected Health Information (PHI)
  • Provide notice of its legal duties and privacy practices
  • Abide by the terms of the Notice currently in effect

PHI may be used and disclosed for treatment, payment, and healthcare operations, or as otherwise permitted or required by law. Additional details regarding your rights, permitted disclosures, safeguards, and complaint procedures are described in the full Notice of Privacy Practices available on our Website.

You have the right to:

  • Inspect and obtain copies of PHI
  • Request amendments or restrictions, where permitted by law
  • Request confidential communications
  • Receive an accounting of certain disclosures

Acknowledgment of receipt of this Notice is required but does not require agreement.

APPENDIX C: CANCELLATION, RESCHEDULING, AND REFUND POLICY

  • Appointments, sessions, or classes canceled or rescheduled with less than twenty-four (24) hours’ notice will be charged in full.
  • Failure to attend a scheduled session without notice constitutes a no-show and will be charged in full.
  • Completed services are non-refundable.
  • Prepaid packages may be refunded only for unused sessions, subject to administrative processing fees.
  • Refund requests must be submitted in writing to info@ispeax.com.
  • Exceptions may be granted at iSpeax’s sole discretion in the case of documented emergencies.

APPENDIX D: CLIENT ACKNOWLEDGMENT

By enrolling in services, scheduling appointments, or submitting intake forms, you acknowledge that you have:

  • Read and agree to the Terms of Service
  • Read and understand the Privacy Policy
  • Received the HIPAA Notice of Privacy Practices
  • Reviewed and consented to Telehealth Services, where applicable
  • Reviewed the Cancellation and Refund Policy

This acknowledgment may be captured electronically and is legally binding.
